Designed for English-to-Spanish and Spanish-to-English legal translators, this workshop examines corporate structures, shareholder rights, and equity-based compensation mechanisms in the United States and the United Kingdom. Through authentic corporate documents and guided translation exercises, participants will deepen their understanding of key legal concepts and develop strategies for making accurate, informed translation decisions rather than relying on automatic terminology equivalents.

  1. Understand the structure and governance of corporations in the United States and the United Kingdom, including the role of bylaws, shareholders’ agreements, and other corporate documents.
  2. Analyze different classes of shares, shareholder rights, voting arrangements, and control mechanisms used in corporate governance.
  3. Distinguish among key share-related rights and protections, including rights of first refusal, preemptive rights, tag-along rights, and drag-along rights.
  4. Explore stock options, phantom shares, and other equity-based incentive mechanisms, along with share pledges and security interests involving shares.
  5. Apply practical translation strategies through guided exercises based on authentic corporate law documents, including bylaws, shareholders’ agreements, voting provisions, and share pledge clauses.
